Novartis has successfully completed the takeover of the US biotech company Regulus Therapeutics. As the Group announced on Wednesday, 74.49 percent of the outstanding shares were offered to it at the end of the offer period, which has now expired.
Novartis had set an acceptance rate of at least 50 percent plus one share as a condition. This condition has therefore been met and the transaction should be declared valid in the course of today, Wednesday.
At the end of April, Novartis announced its intention to strengthen its pipeline in the field of kidney diseases with the acquisition of Regulus. The biotechnology company develops RNA-based therapies and focuses on the treatment of autosomal dominant polycystic kidney disease (ADPKD), the most common genetic cause of kidney failure worldwide.
The initial purchase price is USD 800 million, plus a success-based payment of up to USD 900 million upon reaching a regulatory milestone, as Novartis announced at the time. The Basel-based company expects the transaction to be completed during the second half of 2025, according to earlier statements.
