Cybersecurity provider Wisekey is planning to relocate its headquarters from Switzerland to the British Virgin Islands (BVI). The company intends to implement this step through a cross-border merger with a local subsidiary.

The aim of the restructuring is to create a more flexible corporate structure, according to a press release issued on Tuesday evening. The move is also intended to facilitate access to international capital markets and support future growth and strategic acquisitions.
Wisekey's shares will then be traded on the SIX Swiss Exchange and Nasdaq. The company intends to retain its operational and tax domicile in Geneva.
The proposal is reportedly subject to various conditions, including approval by the regulatory authorities and shareholders. The latter are to vote on it at an Extraordinary General Meeting in the first quarter of 2026. Details of a planned share swap as part of the merger will be announced beforehand.
